End User License Agreement

License

TLJ Tech Systems and Development, LLC (“Developer”) grants you a limited, non-exclusive, non-transferable, and revocable license to install and use Mira, a Cockpit AI agent (“Application”), solely for your internal business purposes within the Bitrix24 platform. The license is granted per Bitrix24 account and does not include the right to sublicense, assign, or transfer the Application to any third party.

Plans and Subscription

Installing the Application is free, and paid features are purchased by subscription. Billing is done by the Developer through Stripe, in US dollars (USD), outside the Bitrix24 Market. Mira is part of the Cockpit AI family of agents but is subscribed to separately.

• Subscriptions are monthly or annual and renew automatically at the end of each period.
• You may cancel at any time through the Stripe customer portal, reachable from the “Plano” (Plan) tab of the Application. Cancellation takes effect at the end of the period already paid, and the feature remains available until then.
• Trial periods and usage limits — such as the number of flows and the AI credits included — are those shown in the Application's “Plano” (Plan) tab. When a limit is reached, the corresponding feature may become unavailable until the period renews or more capacity is purchased.
• In case of non-payment, access to paid features may be suspended until it is resolved.
• The Developer may adjust prices upon reasonable prior notice, applicable only to future billing periods.

Meta Charges

WhatsApp message charges are billed by Meta directly to your WhatsApp Business Account, not by the Developer. The amounts the Application shows — including campaign cost estimates — are a reference; the amount owed is whatever Meta charges.

Meta Account and WhatsApp Policies

• You are responsible for your Meta account and for complying with the WhatsApp Business policies and Meta's terms.
• It is your responsibility to obtain your customers' consent (opt-in) before sending messages and to respect anyone who asks not to be contacted.
• Message templates depend on Meta's approval, and Meta may reject, recategorize or pause them.
• A valid payment method must be kept with Meta for messages to be sent.
• Quality restrictions, messaging limits or blocks applied by Meta to your number are outside the Developer's control.

QR Code Lines

WhatsApp Business lines connected by QR code are an unofficial way of using WhatsApp, subject to WhatsApp's terms. The number may be restricted or blocked by WhatsApp. By subscribing to and connecting a QR code line, you accept that risk, and the Developer is not liable for restrictions, blocks or loss of access to the number.

Actions the Application Performs

• The Application sends messages to your customers, creates and updates CRM records, and transfers or closes conversations. Those actions are triggered by users of your account, by robots, by Journey flows or by the campaigns you configured.
• It is your responsibility to check the audience, content and send pacing before starting a campaign. Messages sent cannot be undone by the Application.

Artificial Intelligence

Journey's AI agent answers are produced by artificial intelligence models from the knowledge you entered. They may contain errors, inaccuracies or information that is not part of that knowledge. It is your responsibility to review and test the flows, keep the knowledge up to date and offer transfer to a person. The Developer is not liable for the content of the answers sent to your customers.

Acceptable Use

• You are responsible for having a legal basis to process the CRM and conversation data the Application handles, including that of your customers.
• You may not use the Application to send unsolicited messages (spam), for unlawful purposes, or in any way that violates WhatsApp's, Meta's or Bitrix24's policies.
• You may not decompile, reverse engineer, or attempt to extract the source code of the Application.

Third-Party Accounts

The Application depends on your Bitrix24 account, on the plan you hold there and on the permissions granted at installation, as well as on your Meta account and on WhatsApp. Changes, suspensions or limits imposed by Bitrix24, Meta or WhatsApp — including API usage limits — may affect the Application and are outside the Developer's control.

Availability and Support

The Developer makes reasonable efforts to keep the Application available but does not guarantee uninterrupted or error-free operation, nor message delivery, which depends on Meta, WhatsApp and the recipient's device. Support is provided in Portuguese at contato@tlj.net.br and through the support channels shown in the Application.

Intellectual Property

The Application, its brand, code and documentation remain the exclusive property of TLJ Tech Systems and Development, LLC. Your CRM data, conversations, flows and the knowledge you entered remain yours.

Disclaimer of Warranties

The Application is provided “as is” and “as available,” without warranties of any kind. Campaign results, estimated costs and attributed revenue are calculated from Meta's data and from what is recorded in your Bitrix24, and depend on the quality and completeness of those records.

Limitation of Liability

To the maximum extent permitted by applicable law, TLJ Tech Systems and Development, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, lost profits, restriction or blocking of numbers, Meta charges, artificial intelligence answers, or business interruption, arising from the use or inability to use the Application.

Term and Termination

This Agreement remains in force while the Application is installed. You may end it by uninstalling the Application; to avoid further charges, also cancel the subscriptions in the “Plano” (Plan) tab. The Developer may end it in case of breach of these terms or non-payment.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil. Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts of the City of São Paulo, State of São Paulo, Brazil.
